1. Agreement to These Terms

By accessing or using any Anagram services, including our website at anagram.ai, our APIs, mobile or desktop applications, and related offerings (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

ARBITRATION NOTICE: These Terms contain an arbitration clause in Section 16. Except for certain types of disputes described therein, you agree that disputes between you and Anagram will be resolved by individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.

2. Changes to Terms or Services

We may update these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms or via email. Your continued use of the Services indicates your acceptance. You may be required to accept materially updated Terms to continue using the Services.

3. Eligibility and Account Registration

You must be at least 18 years old to use our Services. If you are under the age of majority in your jurisdiction, your legal guardian must review and agree to these Terms.
To use certain features, you must create an account. You agree to provide accurate, current information and keep it updated. You are responsible for all activities that occur under your account.

4. Use of the Services

4.1 General

Anagram provides tools to build and deploy LLM-powered applications, primarily for commerce and customer support use cases. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services.

4.2 Internal and External Use

You are solely responsible for how you share and deploy your Projects and Project Content. Anagram disclaims any liability for the accuracy or usefulness of responses generated by our tools.

4.3 Admin Data

Admin users are responsible for managing context data that informs our LLM outputs. The quality of that data impacts response quality.

4.4 APIs

You may access Anagram APIs in accordance with our documentation. We may update APIs periodically and without notice.

5. Content and Licensing

5.1 Definitions

Content: All materials provided through the Services.
User Content: Anything you or other users upload, create, or share via the Services, including Projects and Applications.

5.2 Responsibility

You are solely responsible for your User Content. You must own it or have the right to use and license it as outlined here.

5.3 License to Anagram

You grant Anagram a worldwide, royalty-free, sublicensable license to host, use, modify, display, and distribute your User Content solely to provide and promote the Services.

5.4 License to Others

If you share content publicly or with team members, you grant them permission to use, modify, and share it within the Services.

5.5 License from Anagram

We grant you a limited license to use the Content provided via the Services solely as permitted.

5.6 Deleting Content

You may delete User Content, but residual copies may remain in cached or backup systems. Upon account deletion, we may remove your content after a reasonable period.

6. Prohibited Conduct

You agree not to:

  • Violate intellectual property laws or third-party rights.
  • Upload illegal, harmful, violent, or hateful material.
  • Attempt to access restricted areas of our systems.
  • Interfere with system security or network integrity.
  • Scrape, crawl, or use bots without permission.
  • Spam or send unauthorized solicitations.
  • Impersonate others or misrepresent affiliation.

We may monitor and remove content at our discretion and cooperate with law enforcement when appropriate.

7. Ownership and Intellectual Property

Anagram owns all rights in the Services and Content (excluding your User Content). These are protected by copyright and other laws. You may not use our trademarks or materials without permission.
You retain ownership of your User Content. Anagram does not claim ownership over it.

8. Feedback

You grant Anagram a perpetual, royalty-free license to use any feedback or suggestions you submit to improve the Services.

9. Copyright and DMCA Policy

If you believe your work has been copied or used inappropriately via our Services, email legal@anagram.ai with the required DMCA takedown notice details.
Repeat infringers will have their accounts terminated.

10. Third-Party Links and Services

We may integrate with or link to third-party services. We are not responsible for their content or practices. Your use of third-party services is at your own risk.

11. Subscriptions and Payment

Some features require paid Subscriptions. Prices and terms are detailed within the Services and subject to change with notice.
You authorize recurring charges until canceled. Subscriptions are non-refundable, and cancellation takes effect at the end of the billing period.
We may suspend or terminate accounts with unpaid balances.

12. Termination

You may cancel your account at any time. We may suspend or terminate access at our discretion. If we terminate without cause and you have a paid Subscription, you may be eligible for a refund of unused time.
Sections that should survive termination (e.g., licensing, liability, dispute terms) will remain in effect.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICES OR THAT OUTPUTS FROM AI SYSTEMS WILL BE ERROR-FREE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANAGRAM IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS OR $100, WHICHEVER IS GREATER.

15. Governing Law

These Terms are governed by the laws of California. Any permitted court proceedings will take place in San Francisco County.

16. Dispute Resolution

16.1 Arbitration

All disputes will be resolved through binding arbitration administered by the AAA, unless you opt out.

16.2 Exceptions

You may bring individual claims in small claims court or for IP violations in court.

16.3 Opt-Out

Send an email to legal@anagram.ai within 30 days of agreeing to these Terms to opt out of arbitration.

16.4 No Class Actions

You agree to resolve disputes only on an individual basis.

17. Electronic Communications

By using our Services, you consent to receive electronic communications from us. Notices will be considered received when sent electronically.

18. General Terms

These Terms represent the entire agreement. If any provision is found unenforceable, the rest remain in effect.
You may not assign these Terms without our consent. We may assign them freely.
Failure to enforce any right is not a waiver of that right.

19. Privacy Policy

Please refer to our Privacy Policy to learn how we collect and use your information.

20. Publicity

You grant Anagram the right to use your company's name and logo for marketing purposes. You may opt out by contacting support@anagram.ai.

21. Additional Terms

Additional policies and guidelines may apply. They will be incorporated by reference into these Terms.

22. California Residents

We are not obligated to provide support. Any support provided will follow posted policies.
